Chief Legal & Governance Officer (CLGO)

The International Space Federation (ISF) is looking for a highly skilled and versatile Chief Legal & Governance Officer (CLGO)to take charge of our legal and contractual matters, our intellectual property, and operations on governance and compliance. This role combines a wide range of interdisciplinary legal and transactional matters in an international context with the oversight responsibility of a Secretary General on Group-Level.

The ideal candidate is an expert in corporate law with strong governance acumen, experienced in international legal context, IP strategy, transaction execution, regulatory matters, compliance and corporate administration.

This is a senior-level leadership role that requires broad legal track-record coupled with strong risk-awareness, flexibility, self-starting approach and genuine drive to customize solutions. This position requires on-site work from our R&D laboratory near Cluses, France with occasional travel.

Responsibilities

Legal & Regulatory Oversight

• Advise the executive team and board on legal and regulatory matters, with a focus on international law, technology law, energy regulation, and corporate governance.
• Draft, review, and negotiate contracts, NDAs, MOUs, partnership agreements, intercompany agreements, and other legal instruments.
• Ensure the organization is compliant with GDPR regulations.
• Ensure compliance with global regulatory standards in jurisdictions where the company operates.
• Lead risk management initiatives and oversee the development of legal policies and procedures.

Intellectual Property (IP) Management

• Develop and implement the companys IP strategy to protect core innovations in energy and physics.
• Manage patent filings, trademarks, trade secrets, and licensing agreements in coordination with external counsels.
• Ensure IP due diligence in all R&D and commercial partnerships.

Corporate Governance & Board Administration

• Serve as Secretary General to the Board of Directors
• Prepare and maintain accurate records of board meetings, resolutions, and corporate actions.
• Ensure professional documentation, filings, and compliance with corporate bylaws and governance frameworks.
• Facilitate communication between the board, executive leadership, and investors.
• Organize and facilitate advisory board meetings.

Organizational & Strategic Leadership

• Work cross-functionally with R&D, finance, and external stakeholders to align legal and governance strategy with business goals.
• Support the international expansion by guiding entity formations, assuring regulatory compliance on funding facilities, and local governance structures.

Represent the company in legal negotiations, stakeholder discussions, and public communications when needed.

Qualifications

Juris Doctor (JD) or equivalent law degree; admitted to practice in at least one jurisdiction of the European Union or Switzerland.

5-10 years of legal experience, preferably with a mix of private practice and corporate roles.

Proven experience in corporate governance, intellectual property, and international legal matters.

Strong understanding of science and technology development environments.

Excellent communication, negotiation, and organizational skills.

Fluent in English; additional language skills are a plus, especially French.

Preferred:

Experience in a scale-up environment.

Familiarity with regulatory regimes in energy or technology sectors.
