It is seeking a Group Corporate Affairs & Governance Specialist to join the Group Corporate Affairs and Governance function, within the Group Corporate Affairs, Governance & Compliance Directorate.Main Responsibilities:Assist in organizing and managing meetings of corporate bodies (Shareholders'' Meetings, Boards of Directors, Committees, and Statutory Boards), including minute-taking and managing preparatory and follow-up compliance activities;Support compliance with listing obligations towards CONSOB, Borsa Italiana, and other authorities, providing technical support on regulatory and normative issues to other functions when necessary;Assist in managing corporate law and governance issues, including mergers and acquisitions, the establishment of new companies in Italy and abroad, and financial operations;Manage, in line with group standards and in close coordination with the Head of the function, the system of powers of attorney and proxies for group companies.Requirements and Skills:Master''s degree in Law;At least 5 years of experience in legal or corporate affairs departments of listed or large international companies, dealing with corporate matters, management of Italian and foreign participations, and governance;Preferred: significant experience in leading law or notary firms handling the above topics, or post-graduate specialization in corporate law;Strong analytical and problem-solving skills;Proactivity and team-oriented attitude.#J-18808-Ljbffr
