Our client, a well-established American PSF located in the heart of Luxembourg City, is looking to hire a Tax & Legal Counsel specialized in international tax structuring, to strengthen its small and close-knit legal team (around ten people). This position stands out for its international scope and collaborative corporate culture.
Important: This role is strictly unrelated to investment fund activities.
Candidates with a background in fund tax or tax compliance will not match the profile sought.
We are specifically looking for someone with a strong track record in Tax Structuring and International Taxation of SPVs/SARLs.
Tax & Legal Counsel - Your responsibilities:
- Provide high-level legal and tax advice on the structuring, incorporation, and ongoing management of Luxembourg-based SPVs, particularly SARLs.
- Support the set-up of holding or financing structures across various European jurisdictions, mainly for acquisition, refinancing, or corporate reorganization purposes.
- Deliver strategic international tax input during structuring or liquidation of legal entities.
- Coordinate tax aspects with external advisors (e.g., review of tax memos, validation of structuring reports).
- Draft and manage legal documentation: minutes, resolutions, notarial deeds, etc.
- Handle corporate law operations such as incorporations, capital increases, and dissolutions.
- Supervise company liquidations across European jurisdictions.
- Ensure AML/KYC compliance is maintained throughout the process.
Tax & Legal Counsel - Your profile:
- Minimum 5 years of experience in a law firm or in-house legal department, with a strong focus on tax structuring.
- Solid knowledge of Luxembourg tax law and practical expertise with SPV/SARL structures in a cross-border context.
- A legal qualification is a plus, but not mandatory.
- Independent and rigorous, with a business-oriented and solution-driven mindset.
- Fluency in both French and English, written and spoken.
