To strengthen our Legal Team, we are currently looking for a highly motivated, experienced and dynamic Senior Corporate Legal Counsel .
To ensure corporate compliance with all regulatory and statutory requirements applicable to the CMB.TECH group of companies and its businesses;
To maintain an excellent relationship with the relevant stock exchange and other financial authorities;
To ensure sound corporate administration of the CMB.TECH group of companies;
To head the corporate section of the CMB.TECH legal department and to be the Legal Directors right hand for all corporate matters.
To design and implement all necessary policies and procedures to ensure that the company complies with its articles of association and its statutory and regulatory obligations, particularly for a company dually listed in Brussels and New York;
To prepare records required by law to ensure proper legal conduct of business;
To attend and record meetings of the board of directors and executive committees;
To organize and attend annual and extraordinary shareholders meetings.
To ensure the company, its officers, and employees are informed of and comply with applicable laws, internal rules, and ethical standards, including sanctions, anti-bribery, and anti-money laundering policies.
To serve as a contact for all corporate legal matters within the legal department and with other internal and overseas departments;
To draft, review, and negotiate agreements such as joint venture, shareholder, and share sale & purchase agreements;
To conduct legal research, stay current on corporate legislative issues, and provide analysis;
To handle other corporate legal issues as assigned by the Legal Director or CFO.
What do you bring?
Formal Education : Masters degree in Law;
Experience : At least 10 years as an in-house legal counsel or lawyer in a business law firm, with specialization in corporate and business law. Experience with stock-listed companies is essential;
Languages : Proficiency in Dutch and English (spoken and written);
Solution-oriented with a positive attitude;
Excellent team player, capable of working independently and taking initiative.
Location: On-site in Antwerp
