Senior Corporate Counsel - Listed company - Antwerp
Our client is a dynamic, dual-listed company on the New York Stock Exchange (NYSE) and Euronext. With a strong commitment to innovation and growth, the company operates in a fast-paced, international environment.
As Senior Corporate Counsel, you will lead the Corporate section of the Legal Department and act as the Legal Director''s right hand for all corporate matters. Your primary mission is to ensure strong corporate governance, full compliance with regulatory and statutory obligations, and maintain excellent relations with financial authorities and stock exchanges. You''ll play a crucial role in supporting the legal integrity and strategic growth of our client''s international group of companies.
Corporate Governance & Company Secretarial
- Develop and implement policies ensuring compliance with statutory and regulatory obligations, particularly for dual-listed companies (Brussels & New York).
- Maintain and update all corporate records in accordance with legal requirements.
- Organise, attend, and record board meetings, executive committees, and shareholder meetings.
- Ensure proper corporate administration across all group entities.
Compliance & Risk Management
- Promote and monitor adherence to corporate governance rules and ethical standards.
- Oversee compliance with internal policies, sanctions regulations, anti-bribery, and anti-money laundering laws.
- Educate internal stakeholders on compliance obligations and risk mitigation practices.
Legal Advisory & Leadership
- Act as the main point of contact for all corporate legal matters across departments and international offices.
- Draft, review, and negotiate corporate legal agreements (e.g. shareholder agreements, joint ventures, share transactions).
- Conduct legal research and advise on corporate legislation and regulatory developments.
- Support the Legal Director and CFO on strategic corporate legal matters and projects.
Profiel
- Formal education : Master''s degree in Law;
- Experience : You have at least 10 years of experience as an in-house legal counsel or as a lawyer in a business law firm, with a specialisation in corporate law and business law. Experience in or with stock-listed companies is an asset;
- Languages : proficient in Dutch and English (both spoken and written);
- Skills : Solution-oriented with a positive, can-do mentality; Excellent team player, able to work independently and take initiative.
