Chief Legal & Governance Officer (CLGO) TheInternational Space Federation (ISF) is looking for a highlyskilled and versatile Chief Legal & Governance Officer (CLGO)to take charge of our legal and contractual matters, ourintellectual property, and operations on governance and compliance.This role combines a wide range of interdisciplinary legal andtransactional matters in an international context with theoversight responsibility of a Secretary General on Group-Level. Theideal candidate is an expert in corporate law with stronggovernance acumen, experienced in international legal context, IPstrategy, transaction execution, regulatory matters, compliance andcorporate administration. This is a senior-level leadership rolethat requires broad legal track-record coupled with strongrisk-awareness, flexibility, self-starting approach and genuinedrive to customize solutions. This position requires on-site workfrom our R&D laboratory near Cluses, France with occasionaltravel. Responsibilities Legal & Regulatory Oversight - Advisethe executive team and board on legal and regulatory matters, witha focus on international law, technology law, energy regulation,and corporate governance. - Draft, review, and negotiate contracts,NDAs, MOUs, partnership agreements, intercompany agreements, andother legal instruments. - Ensure the organization is compliantwith GDPR regulations. - Ensure compliance with global regulatorystandards in jurisdictions where the company operates. - Lead riskmanagement initiatives and oversee the development of legalpolicies and procedures. Intellectual Property (IP) Management -Develop and implement the companys IP strategy to protect coreinnovations in energy and physics. - Manage patent filings,trademarks, trade secrets, and licensing agreements in coordinationwith external counsels. - Ensure IP due diligence in all R&Dand commercial partnerships. Corporate Governance & BoardAdministration - Serve as Secretary General to the Board ofDirectors - Prepare and maintain accurate records of boardmeetings, resolutions, and corporate actions. - Ensure professionaldocumentation, filings, and compliance with corporate bylaws andgovernance frameworks. - Facilitate communication between theboard, executive leadership, and investors. - Organize andfacilitate advisory board meetings. Organizational & StrategicLeadership - Work cross-functionally with R&D, finance, andexternal stakeholders to align legal and governance strategy withbusiness goals. - Support the international expansion by guidingentity formations, assuring regulatory compliance on fundingfacilities, and local governance structures. Represent the companyin legal negotiations, stakeholder discussions, and publiccommunications when needed. Qualifications Juris Doctor (JD) orequivalent law degree; admitted to practice in at least onejurisdiction of the European Union or Switzerland. 5-10 years oflegal experience, preferably with a mix of private practice andcorporate roles. Proven experience in corporate governance,intellectual property, and international legal matters. Strongunderstanding of science and technology development environments. Excellent communication, negotiation, and organizational skills. Fluent in English; additional language skills are a plus,especially French. Preferred: Experience in a scale-upenvironment. Familiarity with regulatory regimes in energy ortechnology sectors. Background in working with researchinstitutions, scientific advisory boards, or internationalconsortia.
