Your next challenge In the context of thegrowth of the Group legal department following Pluxees spin-offand listing on Euronext Paris, Pluxees Corporate and SecuritiesLegal Department is looking to recruit a Corporate Legal Counsel,reporting to the Head of Corporate & Securities Legal Dpt. Maintasks: Under the leadership of the Head of Corporate &Securities Legal, and based at the headquarters nearby Paris, youwill participate to the provision of legal support (structuring,drafting, advising, monitoring) in company law and strategictransactions, working closely with other Group departments (GroupFinance, Accounting, Tax, Operations, Treasury) and the Head ofLegal and Company Secretary, in particular: - Manage thehousekeeping of the company Pluxee N.V. with the support of outsidelegal counsels. - Contribute to compliance with Pluxeesobligations as a company incorporated in the Netherlands listed onEuronext Paris and subject to financial regulations in somecountries. - Contribute to the preparation the Annual GeneralMeeting of shareholders. - Contribute to the drafting of Pluxeesannual and market reports, and the disclosure of regulatedinformation. - Contribute to the structuring and implementation oflong-term incentive plans (via restricted shares), share buybackprogram, employee shareholding plans and any other corporate andlegal reorganization transactions. - Contribute to the preparationof the legal documentation for the Board of Directors and itsCommittees, and for the Annual Shareholders General Meeting. -Contribute to the oversight of a portfolio of approximately 70subsidiaries in ca 30 countries (using Dili trust as entitymanagement solution), of Parent Company Guarantees, of Delegationsof Authorities. - Contribute to the management of relevantpolicies, processes, guidelines, templates, trainings and bestpractices (in areas such as insider trading, corporate governance,delegations, corporate contracts, corporate housekeeping). -Contribute to various missions of the Legal Department based onyour skills and development preferences. Youre a match -Bachelors degree in law obtained from a French university. - + 5years experience in a similar role in a corporate internationalenvironment in listed companies in Euronext with good knwoledge ofthe stock exchange regulations. - An additional experience in thecontext of cross-border reorganizations or M&A projects, willbe a plus. - Excellent spoken and written skills in English andFrench. - An additional degree obtained from a Dutch university orin an English-speaking country and/or proficiency in Dutch, will bea plus. - Ability to work in rigorous, autonomous, and organizedway. - Strong interpersonal skills. - Reactive, you enjoy workingin a team and have a high standard of ethics. - Ability to work ina multinational environment.
