A well-established fiduciary based in Luxembourg, serving an international client base. The firm is known for its high standards, strong technical expertise, and long-term relationships with clients. As part of its growth strategy, the company is looking to hire a Corporate Officer to strengthen its legal and corporate team.
As a Corporate Officer, you will be in charge of the day-to-day corporate administration of a portfolio of Luxembourg entities, including SOPARFIs and holding companies. Your main responsibilities will include:
Preparing and drafting board resolutions, shareholders meetings, and corporate documents;
Organizing and participating in board meetings and general meetings;
Ensuring compliance with Luxembourg legal and regulatory requirements (RCS, legal publications, etc.);
Liaising with notaries, auditors, banks, and external advisors;
Maintaining statutory records and monitoring deadlines for filings and legal obligations;
Supporting internal teams (accounting, tax, compliance) on legal matters related to the entities.
Between 2 and 5 years of experience as a Corporate Officer in a fiduciary in Luxembourg;
Sound knowledge of Luxembourg corporate law and company secretarial practices;
Degree in Law, Business Administration, or similar field;
Fluent in French and English (written and spoken);
Proactive, well-organized, and detail-oriented;
Comfortable working independently and within a team.
